Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by 3K Business Services, LLC ("3KBS," "we," "us," or "our"), including our enterprise knowledge management platform, APIs, and related documentation (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

3KBS provides a cloud-based enterprise platform for knowledge management, workforce training, compliance tracking, and organizational analytics. The specific features available to you depend on your subscription plan and organizational configuration.

3. Account Registration

To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

5. Intellectual Property

The Services, including all software, design, text, and graphics, are owned by 3KBS and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during the subscription term. You retain ownership of all content you upload to the platform.

6. Subscription & Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in your Enterprise Agreement. We reserve the right to modify pricing with 60 days' notice. Your continued use after a price change constitutes acceptance of the new pricing.

7. Data Ownership & Portability

You own all content and data you submit to the Services ("Your Data"). We process Your Data only to provide the Services and as described in our Privacy Policy. You may export Your Data at any time through the platform's export functionality or by contacting support.

8. Service Level Agreement

We target 99.9% uptime for the Services, measured monthly. Scheduled maintenance windows (communicated at least 48 hours in advance) are excluded from uptime calculations. Enterprise customers may have additional SLA terms per their Enterprise Agreement.

9. Limitation of Liability

To the maximum extent permitted by law, 3KBS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability for any claims arising from these Terms shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless 3KBS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Services will cease. We will retain Your Data for 30 days following termination, after which it will be permanently deleted unless a longer retention period is required by law.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Travis County, Texas.

13. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.
